These Terms of Use ("Terms") govern your access to and use of the Ingenuity Auctions platform, including all related services, features, and content ("Platform"). By registering, accessing, or using the Platform, you agree to be bound by these Terms. If you do not agree, do not access or use the Platform.
Eligibility
To register and participate in auctions, you must:
- Be at least 18 years of age
- Be legally authorized to enter binding contracts under applicable law
- Meet any eligibility requirements imposed by the applicable county for participation in tax lien or property auctions
- Not be currently suspended or banned from the Platform
Account Registration
You must provide accurate, complete, and current information during registration and keep your account information up to date. You are solely responsible for all activity that occurs under your account. You must safeguard your login credentials and notify us immediately at support@ingenuityauctions.com if you suspect unauthorized account access.
Auction Participation
All bids submitted through the Platform are legally binding. By placing a bid, you represent that you have read and understand the applicable county's auction rules and that you are prepared to complete the purchase at the bid amount if you are the winning bidder.
Winning bidders are required to remit full payment within the timeframe specified by the applicable county. Failure to pay may result in:
- Forfeiture of any deposit or earnest money
- Suspension or permanent termination of your account
- Referral to the applicable county for further action
First Rights
Where applicable, First Rights privileges are subject to the specific rules and deadlines established by each county. First Rights holders are responsible for monitoring available properties and submitting timely elections. Ingenuity Auctions is not responsible for missed First Rights opportunities due to user error or failure to monitor the Platform.
Prohibited Conduct
You agree not to:
- Submit fraudulent, sham, or bad-faith bids
- Coordinate with other bidders to manipulate auction outcomes (bid rigging)
- Attempt to access other users' accounts or data without authorization
- Scrape, harvest, or systematically collect data from the Platform
- Use automated tools, bots, or scripts to interact with the Platform without prior written consent
- Violate any applicable federal, state, or local law, including Alabama auction and tax lien statutes
Intellectual Property
All content on the Platform, including software, design, text, graphics, logos, and data compilations, is the property of Ingenuity Auctions or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any Platform content without our express written permission.
Disclaimer of Warranties
The Platform is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.
Limitation of Liability
To the fullest extent permitted by applicable law, Ingenuity Auctions and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of or inability to use the Platform, even if advised of the possibility of such damages.
Termination
We reserve the right to suspend or terminate your account and access to the Platform at any time, with or without notice, for violation of these Terms or for any other reason at our discretion. Upon termination, your right to use the Platform ceases immediately.
Modifications to Terms
We may revise these Terms at any time. We will provide notice of material changes via email or platform notification. Your continued use of the Platform after any changes constitutes your acceptance of the revised Terms.
Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Alabama, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Alabama.
